These Terms of Service (the "Terms") govern your access to and use of the Global B2B Group website, sub-domains, applications, APIs, tools and services (collectively, the "Platform"). By accessing or using the Platform you agree to be bound by these Terms together with every other policy published in the Legal Center.

1. Nature of the platform

Global B2B Group operates an independent B2B marketplace and business-introduction platform for industrial procurement, global sourcing and project financing. The Platform provides technology, knowledge, research and connections. It does not provide engineering, legal, financial, tax, investment, customs, insurance or engineering advice, and does not act as a party to any transaction between users.

2. Eligibility and accounts

The Platform is intended for legal entities acting through duly authorised representatives. You represent that you have full authority to bind the entity you claim to represent, that the information you provide is accurate and current, and that your use complies with all laws that apply to you. You are responsible for safeguarding your credentials and for all activity under your account.

3. User responsibility & due diligence

All commercial, financial, technical, engineering, legal, regulatory and reputational verification of any counterparty, product, quotation, offer, financing route or partner is the sole responsibility of the user and its advisors. Any decision to engage a supplier, buyer, financier or partner is made independently by the user.

4. No guarantees / disclaimer of warranties

The Platform and its content are provided "as is" and "as available". To the maximum extent permitted by applicable law, Global B2B Group disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, uninterrupted operation and any warranty regarding supplier performance, product quality, delivery, price, financing approval or project outcomes.

5. Acceptable use

Your use of the Platform is subject to the Acceptable Use Policy and the Code of Conduct. You may not misuse the Platform, misrepresent your identity, scrape content at scale, interfere with security, submit unlawful, infringing or misleading information, or use the Platform in furtherance of fraud, money laundering, corruption, sanctions evasion or any other unlawful purpose.

6. Marketplace disclaimer

Global B2B Group is not a party to, and assumes no responsibility for, any contract, payment, delivery, inspection, financing, warranty, dispute or performance between buyers, suppliers, financiers or other users. See the Marketplace Disclaimer and the Financing Disclaimer.

7. Intellectual property

All content, trademarks, logos, software, databases, structure and design of the Platform are owned by Global B2B Group or its licensors and are protected by copyright, trademark and other laws. Nothing in these Terms transfers ownership of any intellectual property to you. See the Intellectual Property Policy, Copyright & Takedown Policy and Trademark Notice.

8. User submissions

When you submit RFQs, briefs, files, feedback, testimonials or other content ("Submissions"), you retain ownership but grant Global B2B Group a worldwide, non-exclusive, royalty-free licence to host, store, transmit, translate, excerpt and display the Submission as needed to operate the Platform, route your request and provide the services you asked for. You represent that you have all rights required to make the Submission.

9. Third-party services and links

The Platform relies on and links to third-party services (hosting, email, analytics, payment, communication, translation, AI). See the Third-Party Services Disclaimer and the Third-Party Links Disclaimer.

10. AI-generated content

Some tools and content are generated or assisted by artificial intelligence. See the AI-Generated Content Disclaimer. AI outputs may contain errors and must not be relied upon as engineering, legal, financial or professional advice.

11. Fees

Where the Platform offers paid services, applicable fees, billing cycle, taxes and refund rules will be presented before you commit. Unless expressly stated, fees are non-refundable once services have been rendered.

12. Suspension and termination

Global B2B Group may, at its discretion and to the maximum extent permitted by law, suspend, restrict or terminate any account, RFQ, listing or transaction where it has a reasonable basis to believe the user has engaged in fraud, identity abuse, false information, money laundering, terrorist financing, corruption, bribery, sanctions violations, export-control violations, intellectual-property infringement, illegal activity or any misuse of the marketplace. We may also suspend to protect the Platform, its users or a legitimate interest. Termination does not relieve any pre-existing obligations.

13. Limitation of liability

To the maximum extent permitted by applicable law, Global B2B Group, its affiliates, officers, directors, employees, agents and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, data, goodwill, business opportunities or savings, arising out of or in connection with the Platform, even if advised of the possibility. To the extent liability cannot be excluded, the aggregate liability of Global B2B Group for all claims relating to the Platform in any twelve-month period shall not exceed the greater of (a) the fees paid by you to Global B2B Group during that period, and (b) one hundred euro (€100).

14. Indemnification

You agree to defend, indemnify and hold harmless Global B2B Group and its affiliates, officers, directors, employees and agents from any claim, demand, loss, liability, cost or expense (including reasonable legal fees) arising out of or related to: (i) your breach of these Terms or any Legal Center document; (ii) your Submissions; (iii) your use of the Platform; (iv) your dealings with any counterparty; or (v) your violation of law or the rights of any third party.

15. Force majeure

Neither party will be liable for failure or delay caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil disturbance, strike, epidemic, pandemic, embargo, sanctions, government action, internet or utility failure, cyber-attack or third-party service outage.

16. Reservation of rights

All rights not expressly granted are reserved by Global B2B Group. No waiver of any right or obligation shall be effective unless in writing. If any provision is held unenforceable, the remainder shall remain in full effect.

17. Changes

Global B2B Group may update these Terms from time to time to reflect changes in law, services or operations. The version and "Last updated" date at the top of this page reflect the most recent revision. Material changes will be signalled in-product or by email where reasonable.

18. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Cyprus, except where mandatory local consumer or data-protection law applies. The courts of Cyprus shall have exclusive jurisdiction, subject to any mandatory rights available to consumers in their country of residence.
