These Supplier Terms apply when you register as, or otherwise operate on the Platform as, a supplier, manufacturer, EPC contractor, engineering firm, integrator or service provider ("Supplier"). They apply in addition to the Terms of Service, the Code of Conduct and the Anti-Bribery Policy.
1. Nature of the relationship
Global B2B Group provides a business-introduction platform. It does not act as your agent, distributor, broker or reseller. It is not a party to any contract or payment between you and a buyer, financier or other Supplier.
2. Supplier onboarding
Global B2B Group may request corporate documents, references, certifications, insurance certificates, financial statements and beneficial-ownership information. Where an internal review is performed it is an onboarding check, not a regulatory certification of the Supplier or its products. Global B2B Group may reject or discontinue onboarding at its discretion, to the maximum extent permitted by applicable law.
3. Accurate information
The Supplier represents that all information provided (capabilities, capacity, product specifications, certifications, references, corporate structure, beneficial owners) is accurate, current and not misleading, and undertakes to update it promptly if it changes.
4. Compliance obligations
- Comply with all applicable laws, including trade, export, sanctions, tax, labour, health, safety and environmental.
- Maintain an anti-bribery, anti-corruption and AML/CTF programme appropriate to your business.
- Do not offer or accept any improper advantage in connection with a Platform introduction.
- Screen your own counterparties for sanctions and restricted-party status.
- Respect intellectual-property rights and third-party trademarks.
5. Buyer confidentiality
RFQ content, project briefs and buyer information received through the Platform are commercially confidential. The Supplier must use them only to prepare a bona-fide quote or proposal for the specific project and must not resell, syndicate, scrape or repurpose them.
6. No exclusivity
Unless expressly agreed in writing, no exclusivity, territory or minimum-volume commitment is granted to any Supplier.
7. Prohibited conduct
Suppliers must not: pay or offer to pay users, staff or contractors of Global B2B Group; circumvent the Platform to solicit buyers introduced through it in violation of these Terms; submit false certifications; impersonate another supplier; or engage in any activity listed in the Acceptable Use Policy or Fraud Prevention Policy.
8. Suspension and termination
Global B2B Group reserves the right to reject, suspend or permanently terminate any Supplier account, listing or introduction where it has a reasonable basis to believe the Supplier has engaged in fraud, false information, corruption, bribery, sanctions violations, export-control violations, intellectual-property infringement or any other prohibited conduct.
9. Fees
Where Supplier services carry fees (subscription, featured placement, workspace, lead access), they will be presented before you commit and are governed by the applicable order form. Unless expressly stated, fees are non-refundable once services have been rendered.
10. Limitation of liability & indemnification
Suppliers acknowledge the limitation of liability and indemnification provisions of the Terms of Service. Global B2B Group is not liable for the volume, quality, conversion, commercial outcome or profitability of any introduction.
